Abstract
This article is based upon the research of the restructuring of European enterprises. Comparison of those activities in the U.S. and Europe with those of Japanese companies can be examples for Japanese enterprises to make recommendations of the strategies toward future business possibilities in Asian countries and M&A policies. These policies are far apart from the policies of the Japanese companies which are continuing with the traditional corporate situation.
In Japan, recently, corporate laws on corporate governance structure, accounting principles and financial structures including share holders rights, are changing toward U.S. standards. However, the American business restructuring which has proceeded through the influence of the share holders and investors can not be adapted to the Japanese society. Therefore Japanese companies develop new strategies based upon research of European restructuring.
These recommendations to the pharmaceutical industry of Japan indicate that the business sector should invest toward the future, such as the emerging market in Asian countries.
