This paper aims to examine the reason to organize business ethics. It tries to confirm the ethical validity of an institution from a normative approach, using theoretical perspectives from politics, law, economics, business administration and ethics. The first section defines the concept of institutionalization of business ethics from a viewpoint of three aspects: stakeholder-oriented principle, encouragement to a corporate initiative and organization by a third party. The second section develops a thorough understanding of the problems by reviewing advanced studies. The third section analyzes essential function both of government and market mechanism and the fourth section tries to emphasize the necessity for the institutionalization. The final section addresses future issues and challenges with regard to complicated procedures and launching together in large numbers. The paper concludes that the institution of business ethics might be admitted to a corporation because globalization asks for checking the validity of cross-border management.
