It can be observed that corporate governance has recently become a theme that draws interest from many economists and researchers from both developed and developing countries.
In order to cope with a changing international economic environment in the world, China has moved toward a market-based economy. As a result, the matter of corporate governance should be reviewed and restructured urgently in order to keep enterprises alive and to develop them in a changing economic environment.
This paper aims to point out both internal and external factors, which exert influence upon corporate governance and relevant incentive issues. The analysis focuses on incentives of entrepreneurs and the governance of Chinese enterprises during the ongoing transition.The paper consists of four parts. Part I is a general introduction to the topic, whereas in part II the actual situation is analyzed and key problems of the corporate governance of Chinese enterprises are pointed out. Part III tries to find effective solutions for those problems. Institutional factors need to be strengthened and incentives need to be given to entrepreneurs in order to restructure the corporate governance of the Chinese enterprises during the transitional period. In part IV the whole analysis is summarized and presents some brief conclusions are given.
