This paper reviewed the requirements of code of conduct and its penetration activities for effective institutionalization of business ethics based on a study of ethically advanced companies in Japan. These companies have features that management combined its corporate philosophy with code of conduct, and respected employees' judgment and behaviors based on its code , and implemented continuous educations and information activities. These approaches are the requirements of voluntary and self-disciplined compliance of code of ethics by its employees.
